1. BASIC BEAT LICENSE (MP3 – NON-EXCLUSIVE)

**Licensor:** Sqtch Industries ("Licensor")
**Producer/s:** "Datmofo Mac" Or "LuNa C"
**Artist / Licensee:** The purchaser ("Licensee")

Grant of Rights

Licensor hereby grants Licensee a **non-exclusive, non-transferable, revocable license** to use the purchased musical composition and sound recording (the "Beat") solely in accordance with the terms of this agreement.

Permitted Uses

Licensee may:

* Record vocals over the Beat and create **one (1) new song**
* Distribute the song in **MP3 format only**
* Release up to **50,000 total streams** across all platforms
* Upload the song to DSPs (Spotify, Apple Music, etc.)
* Use the song in **non-monetized or low-monetized video content**

Prohibited Uses

Licensee may NOT:

* Claim ownership of the Beat
* Distribute the Beat alone or resell it in any form
* Use the Beat in TV, film, games, or major advertising
* Use the Beat after an **exclusive license has been sold**
* Distribute WAV files or stems

Credit Requirement

The following credit must appear wherever possible & applicable:

> "Produced by Datmofo Mac" or "Produced By LuNa C" 

Ownership

Licensor retains **100% ownership** of the Beat, including the master and composition.

Termination

This license terminates automatically if Licensee breaches any term.

2. EXCLUSIVE BEAT LICENSE (WAV – FULL RIGHTS)

Licensor: Sqtch Industries ("Licensor")
Producer: Datmofo Mac or LuNa C
Artist / Licensee: The purchaser ("Licensee")

Grant of Rights

Licensor grants Licensee an exclusive, perpetual, worldwide license to use the Beat.

Upon purchase, the Beat will be removed from sale and no further licenses will be issued.

Permitted Uses

Licensee may:

Distribute unlimited copies and streams

Use the Beat in commercial projects

Release on all DSPs and physical formats

Sync the Beat with film, TV, games, and advertisements

Monetize videos without restriction

Deliverables

Licensee will receive:

WAV file (24-bit or higher)

Optional stems (if included)

Ownership

Licensee owns the master recording of their final song

Licensor retains producer credit and composition authorship

Credit Requirement

Credit is required unless otherwise agreed:

"Produced by Datmofo Mac" or "Produced By LuNa C"

No Refunds

All exclusive sales are final.
